1. Acceptance of Terms

By accessing or using NEXUS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and NEXUS.

2. Description of Service

NEXUS is a financial intelligence platform that provides:

• Real-time and near-real-time market data aggregation across stocks, cryptocurrency, forex, and commodities
• AI-powered market analysis, news curation, and risk monitoring through autonomous agents
• Portfolio tracking and management tools
• Price alert notifications
• AI-generated market commentary and daily digests
• Conversational AI support

3. Not Financial Advice

You acknowledge and agree that:

• All investment decisions are made at your own risk and discretion
• AI-generated insights are probabilistic and may be inaccurate, incomplete, or outdated
• Past performance indicators cited by AI agents do not guarantee future results
• You should consult a qualified financial advisor before making investment decisions
• NEXUS is not a registered investment advisor, broker-dealer, or financial planner
• We are not responsible for any financial losses resulting from actions taken based on information provided by the Service

4. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

5. Subscription Plans & Billing

5.1 Free Plan

The Free plan provides limited access to the Service at no cost, including basic market data, limited AI reports, and restricted portfolio tracking.

5.2 Starter Plan

The Starter plan ($9.99/month) provides enhanced access including full AI agent analysis, increased portfolio holdings limits, additional price alerts, and access to the Portfolio Advisor and Content Writer agents.

5.3 Billing Terms

• Paid subscriptions are billed monthly in advance
• All fees are non-refundable except as required by applicable law
• We reserve the right to change pricing with 30 days' notice
• You may cancel your subscription at any time; access continues until the end of the billing period
• Failure to pay may result in suspension or termination of your account

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any laws
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Resell, redistribute, or commercially exploit AI-generated content without authorization
• Attempt to access other users' accounts or data
• Use the Service to manipulate markets or engage in insider trading
• Circumvent rate limits, usage caps, or plan restrictions

7. AI-Generated Content

The Service uses artificial intelligence (powered by OpenAI) to generate market analysis, news summaries, risk assessments, portfolio recommendations, and other content. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or hallucinations
• AI models are trained on historical data and cannot predict future events
• AI outputs should be independently verified before acting upon
• We do not guarantee the accuracy, completeness, or timeliness of AI-generated content
• AI models and their behavior may change over time as they are updated

8. Market Data

Market data displayed on the platform is sourced from third-party providers. We do not guarantee:

• The accuracy or completeness of market data
• Real-time availability (free plans may show delayed data)
• Uninterrupted access to data feeds
• That prices shown reflect actual executable prices at any exchange

Market data is provided "as is" and is intended for informational purposes only.

9. Intellectual Property

The Service, including its design, code, AI agents, branding, and content (excluding user-generated content and third-party data), is owned by NEXUS and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain ownership of any data you input into the Service (portfolio data, notes, etc.).

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• NEXUS shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
• We are not liable for any financial losses resulting from investment decisions made using the Service

11. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• You may request a copy of your data within 30 days
• We may delete your data after 30 days
• Provisions that by their nature should survive termination will survive

You may terminate your account at any time by contacting support or deleting your account through the platform settings.

12. Indemnification

You agree to indemnify and hold harmless NEXUS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or an in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
